• IT consulting and solutions
• Technical support and maintenance
• Other IT-related services as agreed upon

4. User Responsibilities

You agree to:

• Provide accurate and complete information
• Use our services only for lawful purposes
• Respect intellectual property rights
• Maintain confidentiality of any access credentials
• Pay all fees as agreed upon
• Cooperate reasonably in project delivery

You agree NOT to:

• Use our services for illegal activities
• Attempt to breach our security systems
• Reverse engineer our proprietary solutions
• Share confidential information without permission
• Interfere with our services or other users

5. Payment Terms

• Payment terms will be specified in individual service contracts
• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur interest charges as permitted by Swiss law
• We reserve the right to suspend services for non-payment
• All prices are exclusive of applicable taxes (VAT)

6. Intellectual Property

Our Property:

• We retain ownership of our proprietary tools, methods, and pre-existing intellectual property
• You receive a license to use deliverables as specified in our service agreement

Your Property:

• You retain ownership of your business data and existing intellectual property
• You grant us necessary rights to perform our services

Work Product:

• Ownership of custom developments will be specified in individual contracts
• Standard practice is client ownership upon full payment, unless otherwise agreed

7. Confidentiality

Both parties agree to:

• Keep confidential information private
• Use confidential information only for the agreed purposes
• Return or destroy confidential information upon request
• Maintain confidentiality even after our business relationship ends

8. Limitation of Liability

To the maximum extent permitted by Swiss law:

• Our total liability is limited to the amount paid for the specific service
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for third-party services or products
• We are not liable for business losses, lost profits, or data loss

We do not guarantee:

• Uninterrupted service availability
• Complete error-free performance
• Compatibility with all systems
• Achievement of specific business results

9. Service Level and Warranties

We provide services:

• With reasonable skill and care
• In accordance with industry standards
• As specified in individual service agreements

We disclaim warranties:

• Services are provided "as is" where legally permissible
• No guarantee of specific outcomes or results
• Third-party integrations are subject to their own terms

10. Data Protection

• We process personal data according to our Privacy Policy
• You are responsible for obtaining necessary consents for data we process on your behalf
• We implement appropriate security measures
• Data processing terms may be specified in separate data processing agreements

11. Termination

Either party may terminate:

• With written notice as specified in service contracts
• Immediately for material breach of terms
• For non-payment after reasonable notice

Upon termination:

• Outstanding fees become immediately due
• We will return your data as agreed upon
• Confidentiality obligations continue
• Completed work remains your property (if paid for)

12. Force Majeure

We are not liable for delays or failures due to circumstances beyond reasonable control, including:

• Natural disasters
• Government actions
• Internet or telecommunications failures
• Pandemics or health emergencies
• Other unforeseeable events

13. Modifications

• We may update these terms with reasonable notice
• Continued use after changes constitutes acceptance
• Significant changes will be communicated via email
• Individual contracts may have specific amendment procedures

14. Governing Law and Jurisdiction

• These terms are governed by Swiss law
• Disputes will be resolved in the courts of Zug, Switzerland
• We will first attempt to resolve disputes through good faith negotiation
• EU customers retain their consumer protection rights where applicable

15. Severability

If any provision is found unenforceable, the remainder of these terms remains in full effect.

16. Entire Agreement

These terms, together with our Privacy Policy and any specific service contracts, constitute the complete agreement between us.
