Microservice Solutions GmbH provides IT services, including but not limited to:

• Individual software development
• Website creation and development
• IT consulting and solutions
• Technical support and maintenance
• Other IT related services by appointment

Specific service details, timelines, and results are set out in separate service agreements or contracts.

4. Obligations of the user

You are committed to:

• Provide accurate and complete information
• to use our services only for lawful purposes
• Respect intellectual property rights
• Maintain confidentiality of login details
• To pay all agreed fees
• To cooperate adequately in project implementation

You do NOT commit to:

• Using our services for illegal activities
• Trying to breach our security systems
• reverse engineer our proprietary solutions
• Share sensitive information without permission
• Interfering with our services or other users

5. Payment terms

• Payment terms are defined in individual service contracts
• Invoices are due within 30 days unless otherwise agreed
• Late payments may result in interest under Swiss law
• We reserve the right to suspend services in case of non-payment
• All prices exclude applicable taxes (VAT)

6. Intellectual property

Our property:

• We retain ownership of our proprietary tools, methods, and pre-existing intellectual property
• You are licensed to use the results in accordance with our service agreement

Your property:

• You retain ownership of your business data and existing intellectual property
• You grant us the necessary rights to provide our services

Work results:

• Ownership of individual developments is defined in individual contracts
• Standard practice is customer ownership after full payment, unless otherwise agreed

7. Confidentiality

Both parties commit themselves to:

• To keep sensitive information private
• To use confidential information only for the agreed purposes
• return or destroy sensitive information upon request
• Maintaining confidentiality even after our business relationship has ended

8. Liability limitation

To the maximum extent permitted under Swiss law:

• Our total liability is limited to the amount paid for the specific service
• We are not liable for indirect, sequential or punitive damages
• We are not responsible for third-party services or products
• We are not liable for loss of business, lost profits, or loss of data

We do not guarantee:

• Uninterrupted service availability
• Completely error-free performance
• Compatibility with all systems
• Achieving specific business results

9. Service levels and guarantees

We provide services:

• With reasonable care and expertise
• In line with industry standards
• As set out in individual service agreements

We exclude guarantees:

• Services are provided “as is,” where legally permitted
• No guarantee of specific results or results
• Third party integrations are subject to their own terms

10. Data protection

• We process personal data in accordance with our privacy policy
• You are responsible for obtaining necessary consents for data that we process on your behalf
• We implement appropriate security measures
• Data processing conditions may be set out in separate data processing agreements

11. Termination

Either party can cancel:

• With written notice as set out in service contracts
• Immediately in case of material breach of the conditions
• In case of non-payment after an appropriate reminder

In case of termination:

• Outstanding charges are due immediately
• We will return your data as agreed
• Confidentiality obligations persist
• Completed work remains your property (if paid)

12. Force majeure

We are not responsible for delays or failures due to circumstances beyond our reasonable control, including:

• natural disasters
• Regulatory measures
• Internet or telecommunications outages
• pandemics or health emergencies
• Other unforeseen events

13. Amendments

• We may update these terms with reasonable notice
• Continued use following changes is considered acceptance
• Significant changes will be notified via email
• Individual contracts may have specific change procedures

14. Applicable Law and Jurisdiction

• These conditions are subject to Swiss law
• Disputes are settled before the courts of Zug, Switzerland
• We will first try to resolve disputes through good faith negotiations
• EU customers retain their consumer protection rights where applicable

15. Salvatory clause

If any provision is found to be unenforceable, the remainder of these terms will remain in full force and effect.

16. Overall agreement

These terms, together with our privacy policy and specific service contracts, form the entire agreement between us.
